uWink Announces Odd-Lot Tender Offer

LOS ANGELES, BUSINESS WIRE --

uWink, Inc. (OTCBB: UWKI) announced today that it will commence anodd lo tender offer to purchase all shares of its common stock held by persons owning 99 shares or fewer on the close of business as of December 1, 2008. The Company will pay $0.50 for each share properly tendered, plus an additional $20 to each stockholder who properly tenders uWink shares as a reimbursement of its estimated annual servicing costs (transfer agent, proxy statements, etc.) for each stockholder of record.

The purpose of the odd-lot tender offer is to reduce the number of uWink stockholders of record and reduce or eliminate future servicing fees and SEC reporting costs stated Nolan Bushnell, Chairman and Chief Executive Officer.We estimate that odd-lot stockholders who own less than 100 shares represent over 66% of our record stockholder base but only approximately 0.04% of our total shares outstanding

If we are successful in reducing our total stockholders of record under 500, uWink plans to deregister its common stock with the Securities and Exchange Commission. As a result of these actions, we expect to save considerable costs related to SEC reporting requirements, costs associated with implementing and complying with the Sarbanes Oxley Act and stock registrar costs. We also expect to reduce the significant amount of management time devoted to these activities stated Mr. Bushnell.

In addition, if we are successful in deregistering, we intend to spin-off our Technology Licensing business, via a stock dividend, to our shareholders as a separate non-reporting company. We are still in the early stages of the development of each of our operating businesses and we believe that spinning off our Technology Licensing business, and eliminating the costs associated with being a reporting company for each of our operating businesses, will improve the prospects for raising growth capital, as well as allow each of our operating businesses to compete more effectively in its respective markets stated Mr. Bushnell.

Following deregistration, uWink common stock will no longer be eligible for quotation on the OTCBB; but may be quoted in the Pink Sheets Electronic Quotation System. However, the Company cannot predict whether or when this will occur or that an active trading market will exist for its common stock after deregistration. Moreover, the Company intends to effect the spin-off of its Technology Licensing business such that shareholders will receive restricted shares of the spin-off company so that no trading market will develop for the common stock of the spin-off company. The Company expects to provide (and intends that the spin-off company will provide) its stockholders with annual unaudited financial information following its deregistration from the SEC.

The tender offer is not conditioned on the receipt of any minimum number of shares tendered. The Company has reserved the right to withdraw the offer if it determines that it is inadvisable to proceed with the offer for any reason.

If after completion of the purchase offer there are fewer than 500 stockholders of record, uWink intends to deregister its common stock with the Securities and Exchange Commission and the spin-off to shareholders of its Technology Licensing business as a separate non-reporting company. If, after the completion of the tender offer, uWink has more than 500 stockholders, the Board of Directors may consider other options to reduce the number of stockholders.

Stockholders and investors are urged to read uWink's Schedule 13E-3 being filed today with the SEC in connection with this tender offer, which includes the Offer to Purchase for Cash. These materials contain important information including the various terms and conditions to the offer.

Real-Time Election-Night Viewing at uWink - Nolan Bushnell's Newest Restaurant

uWink is a new restaurant experience from Nolan Bushnell, founder and former CEO of Atari and Chuck E. Cheese. uWink is a social entertainment eatery where guests can order their food, drinks and media (think games, movie trailers, horoscopes and other media candy) via touch screens located at their table.

On Tuesday, Nov. 4, 2008, uWink is turning the entire restaurant into election headquarters by showing election coverage on all of its 20 larger-than-life projector screens.

uWink Signs Deal With Chili's, Opens Third Restaurant

On Monday September 22,
uWink (NASDAQ: UWKI.OB) announced their second software licensing deal to install 4 of their touch-screen terminals in a Chili’s Too Margarita Bar at the Fort Lauderdale Hollywood International Airport as a pilot program for possible expansion into many more locations.

The deal was made with the owner/operator of the Chili’s location, Delaware North Companies, a global hospitality, food service and retail provider, and with the approval of Brinker International Inc. (NYSE: EAT), which owns, develops, operates, and franchises 1,888 various restaurant brands under the Chili’s Grill & Bar, On The Border Mexican Grill & Cantina, Maggiano’s Little Italy, and Romano’s Macaroni Grill brand names.

Uwink blog update - Mt. View

I know it’s been a while since I’ve posted, but that doesn’t mean exciting things aren’t happening at uWink, it just means that there’s a lot going on and most of it we can’t talk about just yet. Since we last updated this blog, we opened uWink Hollywood (see the press release for more info on how cool it is), hosted a couple of press nights, and had Nolan talk at various conference around the world. We are working on installing our technology in a senior center, and we are working night and day to open uWink Mt. View.

Castro Street

in the heart of Silicon Valley. It’s a great location and we are training the staff now. We’ve had a lot of buzz around the Mt. View location, not from the press but from the folks on the street who pass by the location and see pictures of the terminal. You all should know that Mt. View is home to Google, and Apple is just 10 minutes away.

is known as a place to go for lunch as well as dinner in the area. On

you can find almost any kind of Asian food: Korean, Chinese, Thai, Japanese, etc. uWink will be the American Food restaurant on the street and for that we are excited.

A table that's made to order

This is the premise of Inamo, a restaurant in Soho, central London, where diners use their table to order.

In the U.S., the uWink franchise allows diners to order food and drink via touch screens, as well as play games and watch movie previews. There's a place on the table for swiping your credit card when you're ready to pay the bill.

The brainchild of Nolan Bushnell, founder of Atari Inc., the first franchise opened in Woodland Hills, Calif., in 2006, with restaurants also in Hollywood and Mountain View.

"UWink is the only touch-screen restaurant in the United States," said Alissa Tappan, a spokeswoman for the Van Nuys, Calif.-based company. "On our touch-screen terminals are short games, word puzzles, trivia quizzes, horoscopes and a wide variety of activities.

"You can play with one other person, or even compete against other tables or the whole room," she said.

Picture Perfect involves indentifying 5 differences (by touching the screen) between an image and a slightly altered version of the same image. uWink takes care of all technical aspects of this conversion. uWink Q2/2008 Earnings: It’s a Good Thing uWink Isn’t a Restaurant Company

Chris Fernandez updates his view on uWink. A lot of interesting comments, including a realistic approach to the disappointing results of the 2Q 2008...

>>After taking a look at the latest quarterly results from uWink (NASDAQ: UWKI.OB), parsing the numbers, and talking to management, it struck me that it’s a good thing that uWink isn’t a restaurant company because it was not a pretty picture…and then I caught myself.

You see, right now, uWink is indeed a restaurant company until they start selling and licensing their proprietary gaming and point of sale (POS) software on a large scale, which is the whole basis of my original investing thesis for buying shares of uWink.

In the end, I don’t really care about the success of their restaurants, and neither should you, but rather the continued success of that software and licensing business.

But, and this is a big but, until that happens, uWink is on borrowed time, and is indeed solely a restaurant company, that HOPES to license its software to really increase revenue, and ultimately, stay in business.

uWink at Hollywood & Highland

The mastermind behind uWink is Nolan Bushnell, who, as the founder of both the Atari Corp. and Chuck E. Cheese's Pizza Time Theatre, is a bona fide gaming and interactive dining legend.

"I wanted to create a place where people could enjoy each other's company, facilitated by technology," says Nolan, adding, "I believe in social game play." He uses the example of pre-computer-era board games like Monopoly, which brought families together around the table.

"I really thought video games had taken that away and I just wanted to give that back," he says.

This sentiment is most apparent in Nolan's favorite uWink game, the group trivia. At allotted times, diners at all tables are asked via their consoles if they'd like to join the game and, before you know it, a lively competition is happening between groups all over the room with questions and answers displayed on large screens above the tables.

Bushnell's NeoEdge Becomes Big Player with Yahoo! Games

My 9/19/08 uWink Hollywood visit

>>--the 3D motion-activated game outside of the restaurant is really cool and often times created a mini crowd of people watching....great attention-getter

--this location is a lot bigger, more roomy than the Woodland Hills location...very different with a lot more potential. Everything from the music, the lighting, the look, the feel, the furniture, the colors was a massive upgrade to the Woodland Hills one....and I thought the 1st one looked good! This new one makes Woodland hills look like dog shit in comparison

--no longer an ID RFID card....just swipe your driver's license or credit card to get started...pretty neat...built into the machines too (which also got upgrades in outward appearance)....the computer's interface has had major more professional and fun and more user-friendly improvements...and comes in around I believe it was 6 different languages to choose from! Great for international visitors (and potential franchises)

--the place was about half full at 8:30pm and maybe 25% full when we left around 10pm....which seemed decent compared to the other restaurants in the building

--two minor (literally, lol) celebrities were eating there with their moms.... 15 year old Nathan Kress from the show iCarly on Nickelodeon and some other girl who's name I forget....Lexi something?

--1st hour is free for games and entertainment....after that you have to order more stuff to get free credits or buy more credits

--"grouping" worked perfectly this time...all of our food came out together even though they were ordered one at a time

--I ordered a chocolate cake for dessert then 30 seconds later I ordered a second one for a different member of our party....within seconds somebody came out to verify that I wanted two chocolate cakes...I found that interesting because that was exactly my suggestion for the problem uNintendo pointed out!....apparently the double order sent a red flag to the kitchen which triggered a human to verify the order before making it

--this new location has booths, round tables, and even big round tables...very accomodative unlike Woodland Hills to parties of 5 or 6 getting a total of 3 screens at a round table...this place was a far more comfortable setting for parties of any size!

--the iBar was cool as a first step....nothing Earth-shattering (yet) but 1000 times cooler than just the usual boring bar top....lots of plans I was told for the future with it including games

--cool restaurant-wide games....and games for the entire table

--Mountain View location is scheduled to soft open August 11 I was told by one of the managers...it will be a little smaller than the Hollywood location but with a similar layout

But last night we were able to take a sneak peek of the high-tech interactive restaurant at the media party where we had free reign over the food menu and extensive cocktail list and could order directly through a touchscreen at our tables instead of going through a waiter.
